Because of her inactivity, the secretary has voluntarily abandoned her post. You are free to select someone else who would be willing to do the job. She has no ground to legitimately complain given her actions.
I know what you are going through, our PTO voted last year for me to obtain both offices as vp and secretary because noone else wanted the postion. Then at the beginning of this year,the secretary from last year decided that she wanted to take the postion back, so we agreed that she could have it for another year. The problem is that she has yet to attend a meeting and will not help with any of the fundraisers. Is there anything that we as a PTO can do, to take care of this situation. Because, right know it is just myself and the President that is doing all of the leg work for all of the fundraisers. Which I don't care to participate in but I have other responsibilities just like the president does also, and at times we may not be able to do all of the things that are needed to be done.
I'll give an example, last year at the spring fest. I wasn't yet a active treasurer but I had already be voted in for this year. I worked the event, I paid for my families and myselfs food, I paid for game tickets for my kids as well! As far as I'm aware all of the other board members also paid their tickets and food! This said person on a blank piece of paper wrote "Free Pass" and gave it to her kids to carry around to all the games. Because she was serving the food she also let her family eat for free. Now I'm not saying that spilling all the blood, sweat and tears that we do serving on the PTO shouldn't come with a few perks...taking home some of the food that is left over or other such things. What I'm saying is if the perks are the only reason your there and so that you don't have to sit in the car pick up line in the afternoons, you shouldn't be there, you are wasting everyones time!
But I would like to report that we didn't just throw her out, we had a board meeting to discuss the situation with her there. She explained that the president before our current president never really let her "do" anything! She was a I'll do it all myself sort of person. So she wasn't ever really sure of what her duties were! She has since then really tried to be there more helping and pretty much taking over gathering donation for the auction. This year will be her last year though unless we motify our by laws, nobody really read them before I suppose because this is her 3rd year serving as secretary and our by laws state a max of 2 years. I think she would make a great event coord. because she is good at talking to people on the phone and such.
We did also vote in a Co Secretary that will be taking over the newsletters and such!

A policy change might be in order - that officers don't get into events/activities that charge for free. We've never given that option to anyone.

There is nothing in Robert's Rules of Order to prevent it and it is, in fact, encouraged if it will save board time and effort.

You misunderstand. The reason for the one-on-one is to help you (and, presumably) the board to get what you want (get her to resign). It has little to do with saving her feelings. Keep in mind that honey attracts more flies than vinegar. The "honey" being a one on one meeting and the "vinegar" being a full board meeting (even with just 4 members).
When I'm talking about calling a meeting to deal with it. I'm talking about with only board members. There are 4 of us, including the secretary in question. That is going to be as private as it gets. Not to mention, I don't think it would be right for me to sit down with a "one on one" with her when this deals with the whole board.

I also wasn't saying that we would put it to a vote to expel her from the group, I was saying that if she offered to resign that we would put that to a vote. We don't have anything in our by laws pertaining to removing a member from the board (now that I know that, revising the by laws will be the next order of business) so we couldn't do that if she didn't chose to leave on her own anyways, that is why I said that we would have to go to other solutions if she wasn't willing to leave on her own.
