Probably the major benefit of incorporating is something called the "corporate shield." Incorporating shields your officers, in most cases, for being held personally liable in lawsuits involving an action of the corporation. In other words, someone can't successfully sue you personally for something the PTO did while you were president. (This protection isn't absolute. If there's criminal negligence involved on your part, for example, you likely wouldn't be protected. How strong the corporate shield is varies from state to state.) The main drawback of incorporating is that it costs some money and there are annual filing requirements. In some states your group can be fined if you don't follow through with these requirements.
