Established PTO, no real voting

What would be the best way to bring up the idea of voting and by laws for an established PTO that currently has none?

A little background, I have been serving with a PTO for a local preschool that all three of my daughters have attended for the last 4 years. We have by-laws, rules, ect. I also am familiar with voting through the boards I serve on. Now, my oldest two daughters attend a different small elementary school with a small parent group that calls itself a PTO but does not vote on anything. As far as I know, there are no bylaws and no real rules that they follow. The first meeting I went to the president announced that she has been the president for the past (I don't remember # of years) there is one person who volunteered to run the checkbook, and one of the teachers takes care of the minutes which I do not think are ever actually printed and shared with the other parents. This is a very small school (24 kids from k-8th) and I am sure it has not been brought up before that they are not following typical rules with their meetings.

I want to help get them on the right track with their meetings, but sort of worried it might make me the "black sheep" by suggesting those seats of president and such should be voted on.

Any suggestions? I do not want to run for a seat myself as I still volunteer with the preschool, and also serve on our local school board, but I would like to see other parents get the chance at leading a group and feel like their voices are heard.
