Is your group under the umbrella of your school? Or do you function on your own, are you incorporated as your own. If so, your superintendent and principal cannot tell you what to do.
I agree though, one of you needs to step up to President and then solicit parents to fill other positions.
Why dont one of you two become president and ask for people to fill your position? I think it will be easier to get someone to do that then fill a position that you both to seem to not want. Know what I mean?
Certainly any organization can function without a president, but "how well" and for "how long" the group can function is the question.
I don't believe your PTO should put a hold on all your events/activities due to this open position. Is that what the superintendent/principal are suggesting your PTO do?
