Correct. You have only one organizing instrument. As incorporated entity, it's going to be the Articles of Incorporation (unless your state is using a different term). Years ago, when I looked into incorporating our group (in Texas), the document was called Articles of Incorporation. But I noticed recently that they now call it a Certificat of Formation.

Let me get this straight in my head - since we have incorporated, we do not need Articles of Organization b/c we aren't a LLC?

No, while serving a similar purpose, they are not the same.

Articles of Incorporation refers to the organizing instrument for an incorporated entity.

Articles of Organization refers to the organizing instrument for an LLC (Limited Liability Company).

A PTO usually incorporates as a non-profit corporation (if pursuig that step, which is optional).

Are Articles of Organization the same as Articles of Incorporation? We were just incorporated and now getting ready to do Form 1023
