In all instance,the Executive board must fill the vacancy ASAP. Normally it would be the VP, but if there is a more qualified canidate that can keep the organization in the running mode- then by all means that is the logical choice.
Our bylaws are structured like that to insure we have a good canidate who will get things going forward and not be stumbling around trying to figure out what is going on. I agree with serendipity that a vote by the Exec board is all that is required, then an annnouncement at your General Meeting about the change. I hope this helps.
This may be covered in your groups bylaws. However, someone needs to step up and fill the position or you won't have a functioning organization. If it were my situation the executive board would vote her into the position and we would update the signiture card.
I would not worry about losing your non profit status. Even if your bylaws were not followed to the T who would know? Many things that face groups are not even outlined in their bylaws. The government does not know what your bylaws say.
Our by-laws indicate the 1st VP should assume the Pres. position, however she is not able to do so. I think our PTO Secretary has agreed to step up, however it seems like it should be voted on at some point. Does anyone have any thoughts on this. The principal already asked the sec. if she would take the job (the sec is quite qualified for the position). I don't want the PTO to risk losing their non-profit status by not following proper procedure. The Exec Board meets this Thurs, however the organization doesn't meet until Sept.. This has also created havoc for transacting financial business because the signature card needs to be updated at the bank.
