We have an officer who has violated our bylaws. We have been trying to work out a resolution to the situation since the beginning of the year, but the officer refuses to communicate with the President of the group and has failed to respond to requests from the board to perform duties, share duties and turn over files.
We have a board meeting very soon at which we will discuss the situation and very likely vote for removal of the officer.
If our bylaws state that an officer can be removed for failure to perform duties by a 2/3 vote of the executive board, do we need to relay the details to the general membership?
Nothing in the bylaws states that we have to have the general membership vote in this situation, but if the officer request that it be brought to the general membership, should we comply?
It's not that we trying to hide anything from the general membership. We're trying to keep it among the board to prevent damaging the reputation of this officer and to not end up with some ugly situation that destroys the reputation of the organization or drives parents away.
