Question: Need help!! Disbanding
My principal told me today that she wants Ptso to be disbanded because of two ex-members of our Ptso members. She wants all our money and she said she will handle teacher payouts. Our bylaws are really vague when it comes to bylaws. I don't want to disband but if I am forced out I have no choice. How or what don't do if it does happen? These are out bylaws for.disbanding. Article XI. Dissolution The organization may be dissolved with fourteen (14) days notice and a two-thirds vote of members present at the meeting, assuming a quorum. Upon the dissolution of the organization, after paying or adequately providing for the debts and obligations of the organization, the remaining assets shall be distributed to Elementary School for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to, any of its members, trustees, officers or other private persons, except that the organization shall be authorized to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the exempt purposes.

Sorry for this challenging situation. Your bylaws do sound pretty specific in terms of disbanding, though, so you should consider holding the meeting and seeing if 2/3 of the people agree to disband. If that is the case, unfortunately, then it may not be a healthy organization and it's probably the right thing to do. If the votes are in favor of NOT disbanding, hopefully you could encourage more people to become more engaged with the group. Before holding the vote, the president should reach out to as many members as possible and let them know the importance of attending the meeting, voicing their concerns, and voting. Best of luck.
