Question: Adding a Conflict of Interest Policy as an Addendum to Bylaws

When our bylaws were written, a Conflict of Interest Policy was not included. I am now filing for tax-exempt status and need to add this Policy per IRS requirement noted on Form 1023. What is the correct procedure and format for an addendum? Do we simply circulate the Policy and obtain 2/3 vote to approve at our Board Meeting and simply title the Policy as "Addendum" and include as a separate attachment to the Bylaws? Or, do we have to "amend" the bylaws and add the Policy as a new Article?
