I thought this person was not necessarily referring to officers, but rather other positions. Our group has several board appointed positions, but they aren't considered executive board members. Our executive board can call an emergency meeting, like i mentioned, but official records are taken. And a quorom of the e.b. must be in attendance.

It seems to me that if two or more officers are meeting without letting the other officers know, it's not an official meeting. Certainly any votes taken or actions decided upon could not be considered "official."
In our group we can hold an emergency Executive Board Meeting. Minutes are recorded as usual, and it doesn't require the other non-executive board members to attend. We've done this a couple times when there was something that came up suddenly, and had to be resolved before the next general meeting.
As far as not making it known to the other board members... that I don't know. Seems to me if something like that is done, it may raise some eyebrows.
