You still need a quorum to transact business. I would find it odd that your bylaws state that only 2/3rds affirmative vote of those PRESENT are needed to disband. Are you sure your bylaws don't state present AND VOTING?

Our PTA bylaws state that a vote to dissove is 2/3rds of the members PRESENT.

IF you are a PTA then the definition of a quorum is -without question - defined in your bylaws. There are different amounts for general meetings, board meetings, executive committee, and committee meetings. (Is your problem concerning what portion of a quorum is necessary to pass or fail a motion? Sometimes a higher number or percentage of membership is needed to be present if voting on dissolving the organization.)

Do you have a quorum number? It might be hard-coded like "10" or "15" members. Or it might be a formula ("10% of total membership").

You don't need all your members to vote. Typically, you just need a 51% or 67% majority to vote for disbanding, provided that a quorum is present.

We are still having more questions: first, our by-laws are unclear as to how many make up a quorum. We have about 90 members in our current PTA, and typically, our meeting attendees are sparse at best--usually about 10 members at the most. I don't know that much about quorums, but I don't think that 10/90 would make one. Can a vote be done by sending home a note with the students and having the parents vote yes or no and sending it back via the student? I do not feel that there is any way to get even half of our members to attend a meeting. Our parents are great about helping when called upon, but we have a difficult time getting a group together for meetings. Anybody have any help on this issue?
