Bylaws Committee Meeting

I don't know sswc - but based on just the two clauses you've posted, I'd say your principal is giving you good advice on this issue. Ammendments do supercede the original articles and it sounds like this ammendment does apply to the official establishment of a bylaws review committee.

You are very wise to establish a committee to clean up and revise the bylaws. It sounds like it's sorely needed! In this instance, I would recommend that you allow the membership to vote. It would be a shame to have this committee work so hard for nothing.

Can you call a special meeting for a quick vote so you can move on? I'm guessing that from now through the end of the year, not much work would be done on the bylaws anyway so I wouldn't expect that the team will lose much work time.

Even with a vote, the team you selected should still be able to do the job. Just present them as a group and make one motion for the membership to recognize them as the official bylaws review committee.

Our PTO formed a by-laws committee according to Article XI: Other committees that states "The organization shall create other committees as the need the need arises and the president shall appoint them." I didn't appoint anyone, I asked for volunteers to serve on the committee, it is noted in the minutes. At the next meeting, again I asked for volunteers to serve on the committee.
(that's 2 notices) I prepared all the paperwork, and set the date for the first meeting. I notified the committee members who signed the sheet and gave a 3 day notice of the meeting. NOW...our principal has informed me that I am having this meeting illegally because the committee was not voted and approved by the organization. He is referring to Article XIV : Amendments - B that states "a committee may be appointed to submit a revised set of bylaws as a substitute for the existing bylaws only by a majority vote at a meeting of the organization. The requirments for adoption of a revised set of bylaws shall be the same as in the case of an amendment."
I argued the issued because I was acting under the COMMITTEES Article and that the AMENDMENT article is referring to the amendments, not the committee.
This is the whole purpose for the meeting.....to clarify some articles that are causing alot of confusion.
Will somebody please tell me if I am doing anything illegally???????? I can't find anything in Robert's Rules!! All I have to go by is that the members of the committee agree that I am acting accordingly.
