If you have formed a society whose members have the final say then your membership approves your bylaws- not your board. Also, since you are not amending but adopting bylaws, only a majority is needed to pass the vote on them. Hopefully you have wording within your bylaws that names your parliamentary authority. If not, you should. When your bylaws don't cover something, it's nice to know that there is somewhere to go to get the answers you seek.

Our PTF is adopting bylaws for the first time..and I have a few questions.
Does the current board approve the bylaws and then they are voted on at a general meeting? Should the vote be 2/3's as in any other vote? Does the principal need to approve them? Thanks so much for any input!
