Bylaws presented at meeting ...

I was at our PTO meeting this week. At the meeting the president presented new bylaws that she had edited and had the principal sign. The teachers were not real happy about her trying to pass it through without a vote.

One of the points in the bylaws was 'the power to alter, amends, or repeal bylaws of ABC school or to adopt new bylaws shall be vested exclusively in the Board of Directors.'

My understanding was that the bylaws had to be voted in my 2/3 votes. I also understand that a group can write their own bylaws, but is it correct that the board of directors who is made up of officers, principal, and standing committee chairs??

I'm very confused.
