It sounds like you have some loose areas in your bylaws that could use some tightening up with another clause or two.

If you are required to have two each of president, vp and treasurer, one from each grade, then it's logical to follow that with something like, "If the 1st grade president position is vacated, the 1st grade vice president shall become president and the board shall choose a new 1st grade vice president."

That said, you can't really make someone move up to the president spot if they don't want to.

As for being required to fill the spot, I'd say your bylaws are a bit open to interpretation. It seems logical to me that another president needs to be found, ideally from the same grade as the officer who leaves. However, it may seem just as logical to someone else that it doesn't really have to be filled at all as long as you have at least one president.

I think your membership should be made aware of the vacancy and have the opportunity to run for the position. If there are no willing candidates, and the membership allows it, run the rest of the year with one president.

The way you were cut off was rude. It seems a behind closed doors decision was made and folks came into the meeting already knowing what they were going to do. I wouldn't stand for that.

Hello all- I just returned from the October PTO meeting. This evening one of our PTO presidents (we have/had 2) resigned due to a conflict of interest. We are a K-1 building and our bylaws (just revised and approved, right before the resignation!) state:
Term of Office. Officers can serve a maximum two-year term in the same position. All persons elected shall assume their duties at the close of the school year during which they are elected, with the exception of the treasurer who must hand over all materials on July 1. For the office of president, vice president and treasurer, the members will ideally elect one first-grade parent and one kindergarten parent to each office. If a kindergarten AND first-grade parent are not elected to the respective offices, it is up to the membership to elect qualified candidates to these board positions.
They also state:
Vacancies. In the case of a vacancy occurring in any office, the Board shall fill the office with a member, by a majority vote. In case of a vacancy in the office of the president, the vice president shall become the president, and the Board shall choose a new vice president.

We have 2 vp's and neither want to be co-president. When I asked what was going to happen, I was cut off and told the meeting was over. This happened at the very end and we were already over on our allotted meeting time by 20 minutes (our meetings last 1 hr). I said you can't just end a meeting after a statement like that without discussion. After the meeting the treasurer told me that according to the bylaws we did not need to find another president because it is suposed to be filled by a vice president and since neither want to step up we will just have one president. Is this correct or are we able to find and elect a new president?
