I don't know if this will be helpful. In our organization, the President cannot act unless directed to do something by a decision of the Board of Directors or the General Membership. On matters pending before the Board, Board votes always matter and are always necessary. The President should not be allowed to act alone. Usually, majority rules, but, there are some decision that your bylaws may require a specific majority (like a 2/3 majority).
