Nope, but they may be able to receive them if the old ones bylaws had fund could be given to a 501 upon its dissolution

A motion that is seconded then requires a vote.
There should be a debate/discussion -- speak for or against, modify the motion, etc.
If you have a quorum, that vote is the group's action.
Dissolving the group is a big deal. Check your bylaws for a voting procedure. It may require the vote at a subsequent meeting with due notice.
The entire board can be asked to resign, but that's not dissolution. Everything stays as-is and you all just step down (and become regular members). New leaders need to be chosen. If you are not replacing the leaders, you might as well dissolve, since the group can't do anything without officers.
Seems like a lot of mis-placed energy at that school.

The only resignation procedure in our bylaws is to turn over to the president all reports, books and other materials pertaing to the office adn return to the treasurer all funds.Do we close our accounts at the bank and they open new ones or just remove our names. If your bylaws don't have any stipulation about who can make motions and vote, then yes, the board has to recognize the motion made for the board to dissolve. That your executive vote was not legal has no bearing on whether or not the motion made in the general meeting was legal or not. Based on what you've said here, I believe the motion was legal and must be recognized.
If you feel the principal was involved in missing money, you should report that to the parents and the superintendent, and do it in writing. If no board member or pto member was involved in the money disappearing, you will be absolved in any subsequent investigation.
From reading your posts, it sounds like for whatever reason, the parents want a parent group but not the current board. Based on that premise, if you spend down the group's money now, you're going to perpetuate the hard feelings that seem to exist between the board and the parents. Actually, since you resigned last night and were voted to be dissolved, I don't think it would be legal for the board to spend any money at this point. Even though your plan was to allocate the money, if the parents want something different done with it, you need to follow what the parents want. It's the group's money, not the board's money.
At this point, I think you should follow whatever resignation procedures are set forth in your bylaws and step aside so the parents can have whatever kind of group they want, no matter how much you disagree with them. Like Tim said, by getting caught up in all of this crap, your group isn't going to get any good work done for the kids.
We did resign last night,verbally, after the parents motioned for us to dissolve as pto board members, I just want to make sure since our exec. vote is not legal that there motion is. As far as the money we did want to allocate it programs at the school, the parents wanted the principal to take control.After 45 minutes of being told that the meeting was going to get ugly, we resigned. I am concerned about the missing money and just want to do everything legally. The parents have a vice president at state level from the PTA coaching them.If you can help me do this legally I would appreciate it.
