Thank you for the fax kmamom. And I don't know how I missed the sample on that site. I just found the part to download and fill out. The sample should help me a lot. I hope so. It just got too confusing with words like agent, incorporator and statutory agent when they all mean the same person(s). Good Grief!
When we checked into incorporation (in Texas) we also found the state provided a pretty basic template to follow. Then you also have your own bylaws to cover the rules of running the organization.
One note - check into how the information on your designated "agent" is maintained. Here, that must be current information, and there's small fee ($10-$20) to update it. So rather than list the President (who changes every year or two) we had planned to designate the Principal who is also a PTO board member.
Our last principal was at the school about 18 years until he retired. The current one was vice principal for several years and we expect her to remain quite awhile also.
It just seemed like one less set of paperwork/fee to deal with each year.
I'm sending the copies I have but it looks like I'm missing a page. I did ours online with the state of New Jersey, and it's nothing like the example PTO Today offers, so it was a little confusing for me. Iremember it being basically a "fill in the name/address" and "click the appropriate box format", and you sent the bylaws to them. I had to amend mine because the three most important paragraphs that HAVE to be seen in your articles of incorporation, copied word for word from the IRS publication 557(?)I mistakenly clicked a box rather than typed in (WHY they didn't offer those paragraphs as a choice to click in is beyond me, since everyone needs to have them in their articles of incorporation when you're filing for tax-exempt status).
